Terms of Service

1. Introduction

• These Terms of Service (the “Terms”) govern your use of the Website, services, applications, products and content (collectively, the “Services”) provided by Starke Robotik Sdn Bhd and its affiliates (collectively referred to as “Starke Robotik”, “we”, “us” or “our”). The term "you" and “your” means you, the business entity on whose behalf you are using the Services, and all users of the Services.
• By using the Services or any part of it, you agree that you have read these Terms and that you accept these Terms and agree to comply with them. Your access to and use of our Services is also subject to our Privacy Policy located at this Website. Our Privacy Policy describes how we collect, use and store your data that you provide or that we may collect when you use the Services. By using the Services, you consent to the terms of the Privacy Policy. If you do not agree to these Terms, please do not access or use our Services.  
• We may amend or update these Terms from time to time. You will be deemed to have acknowledged and agreed to the amended Terms by your continued use of the Services following the date on which the amended Terms are posted here. You are reminded to check this Website regularly for updates to these Terms.

 

2. User Account

• To access or use our Services, you must create and register an Account with us and provide relevant information where required. It is important that you provide true, accurate and up-to-date information, maintain and promptly update the personal data that you have provided to us, in order to keep such information true, accurate, current and complete.
• If you are representing a company, organisation or any other legal entity (“Entity”), you represent and warrant that you have authority to bind the Entity to these Terms;
• You represent and warrant that you possess the legal capacity (and in the case of a minor, valid parent or legal guardian consent), right and ability to enter into these Terms of Service and to comply with its terms;
• You acknowledge and agree that you will use the Services for lawful purposes only and in accordance with these Terms of Service and all applicable laws, rules, codes, directives, guidelines, policies and regulations.
• You are solely responsible for maintaining the confidentiality of your account and password, restricting access to your computer by any unauthorised or third party and/or minors, and to accept responsibility for all activities and transactions that occur under your account. If you know or suspect that any third party has gained access to your password and/or your account, you must notify us immediately at labstarke@gmail.com. We will not be liable for any loss or damage arising from any unauthorised use of your password or your failure to comply with this Section.
• We reserve the right, at our sole discretion, to suspend, terminate or disable your user account, or reject any use of the Services at any time, without advance notice to you, if you have failed to comply with any of the provisions of these Terms, or if activities occur on your account which would or might cause damage to, or impair the Services or infringe or violate any intellectual property rights, or violate any applicable laws or regulations, or have engaged in any potentially fraudulent, illegal, criminal or suspicious activity.  
• We will not be liable for any loss or damage suffered by you arising from your failure to comply with and/or violation of any of these Terms.

 

3. Use Of the Services

3.1 You shall use the Services in accordance with these Terms, and shall not: 

• provide any false information in your account details;
• impersonate any person or entity, or to falsely state or otherwise misrepresent authorisation to act on behalf of others or us;
• violate any applicable laws, rules or regulations in connection with your access or use of the Services and/or for any purpose for which it is not designed or intended.
• use, or misuse the Services in any way which may impair the functionality of the Website and/or the Underlying Systems or impair the ability of any other user to use the Services;
• attempt to undermine the security or integrity of the Website, the Services or the Underlying Systems by way of copying, modifying, decompiling, reverse engineering, disassembling, or to determine any source code of, decrypt or interfere with the proper working of the Services, disrupt or hack the website or any networks connected to the Services;
• upload, post, transmit or otherwise communicate any content, information or commentary about another person that is untrue, offensive, indecent, hateful, harmful, threatening, abusive, harassing, alarming, distressing, insulting, defamatory, vulgar, obscene or libelous;
• intimidate or harass another, or promote sexually explicit material, violence or discrimination based on race, sex, religion, nationality, disability, sexual orientation or age;
• copy, modify, reproduce, distribute, sub-license, transfer, market, sell, rent or lease for a fee or charge, any of the Services or use the Services to advertise or perform any commercial solicitation;
• make any modification, alteration, adaptation, improvement, enhancement, translation or derivative work from the Services;
• upload, transmit, or introduce any data, file, software or link that contain or redirect to viruses, malware, Trojans, worms, logic bombs or other similar harmful components that are malicious or technologically harmful or have a detrimental impact on the Website;
• upload, email, post, transmit any content that infringes any patent, trademark, trade secret, copyright or other proprietary rights of any party;
• create or promote a product, service or software that is, directly or indirectly, competitive with or in any way a substitute for the Services, product or software offered by us;
• send any unsolicited or unauthorised messages, solicitations, advertising or promotional material, junk mail, spam or chain letters or any other prohibited form of solicitation.  
• collect any information in respect of other Users, including, but not limited to any personal data or information, or trace any activities and information of other users or visitors through the Services;  

 

4. Intellectual Property Rights

4.1. All Intellectual Property Rights in the Website, the Services, and all the Underlying Systems including but not limited to, copyright, patents, trademarks, trade secrets, are and remain our property and/or our licensors’ property. You must not contest or dispute that ownership, or the validity of these Intellectual Property Rights. 

4.2. You agree not to use the Website and the Services to infringe on any of our intellectual property rights or for any purpose that is unlawful.

4.3. You are not authorised to use our trademarks in any advertising, publicity or in any other commercial purposes without our prior written consent.

4.4. You grant us a non-exclusive, royalty-free and non-transferable license to use your business name and related trademarks to promote and market the Services during the term of your engagement of the Services.

4.5.  If you provide us with ideas, comments or suggestions (collectively “Feedback”) relating to the Services, then all Intellectual Property Rights in the Feedback, and anything created as a result of the Feedback (including new material, enhancements, modifications or derivative works), remain our property, and we may use or disclose the Feedback for any purpose at our sole and absolute discretion;

4.6.  We may, with or without notice, at any time, at our sole discretion, block access to and/or terminate the accounts of any user who infringes or is alleged to infringe any copyrights or other Intellectual Property Rights.

You acknowledge that the Services may link to third party websites that are connected or relevant to the Services. Any link from the Services does not imply that we endorse, approve or recommend, or have responsibility for those websites or their content or operators. You agree to defend, indemnify, and hold Starke Robotik Sdn Bhd and its subsidiaries, affiliates, officers, directors, employees, agents, advisors or other partners, harmless from any and all claims, liabilities, costs, expenses, damages, suits, proceedings, fines, penalties, including, but not limited to, attorneys’ fees and expenses, arising out of a breach by you or any user of your account of these Terms or arising out of a breach of your obligations, representation and warranties under these Terms.

 

7. Disclaimer Of Warranties And Limitation of Liability

7.1. The Services are provided on “as is” basis without any warranties, claims or representations  of any kind whether express, implied or statutory, and that by accessing and using the Services, you acknowledge and accept that any content, products or services accessed or obtained thereby is solely at your own risk and discretion.

7.2. No conditions, warranties or other terms apply to the Services except to the extent that they are expressly set out in the terms.  We reserve the right to change, suspend, withdraw or restrict the availability of all or any part of our Website and Services at any time without notice.

7.3. We make no warranty or representation to you that:

• your use of the Services will meet your requirements or expectations;
• your use of the Services will be available, accessible, secure, timely or uninterrupted;
• any information obtained by you as a result of your use of the Services will be accurate, complete, reliable or error-free;
• defects in the operation or functionality of the Services if any, will be corrected;
• the Services will be free of viruses, worms, Trojan horses, time bombs or any other harmful components;
• we have no obligation to support or maintain the Services.

8.1. We reserve the right, at our sole discretion, suspend or terminate your Account and/or your access to the Services, at any time, and without prior notice to you. Cause for such termination shall include without limitation:

• any breaches or violations of these Terms;
• request by law enforcement or other government agencies;
• infringement of Intellectual Property Rights;
• discontinuance or material modification to the products/services provided on the Website;
• in the event of any act, threats of, verbal and/or written abuse against any user, our employees, representatives and/or officers.

Termination of your access to the Website shall be without prejudice to any other rights or remedies we may be entitled to under these Terms, at law or in equity and shall not affect any accrued rights or liabilities nor the coming into or continuance in force of any provision which is expressly or by implication intended to come into or continue in force on or after such termination.
